These Terms of Use for the RGIS, LLC and RGIS Affiliates (collectively “RGIS” or the “Company”) RConnect employee portal and mobile application (collectively “Portal”) govern the use of the Portal by persons choosing to access it. Please make sure to read these Terms and Conditions carefully before you access the Portal. By downloading or using the Portal, you agree to these Terms of Use without modification. The Company is making the Portal available to you, on a purely voluntary basis, to facilitate accessibility of your schedule and track your time worked, among other uses. If you do not wish to agree to the Terms of Use, you should not download or use the Portal.

APPLICABILITYThe Portal shall be defined herein to be RConnect.rgis.comoperated exclusively by RGIS. These Terms of Use do not apply to any other RGIS website. This Portal may contain links to other sites for your convenience and information. These sites may be operated by companies not owned by RGIS. These other sites or linked third-party sites may have their own privacy notices or terms of use, which you should review if you visit those sites. RGIS is not responsible for the content of any sites not owned by it, any use of those sites, or those sites' privacy practices.

MODIFICATION OF THESE TERMS OF USE RGIS reserves the right to change the terms, conditions, and notices under which the Portal is offered, including, but not limited to, any changes associated with the use of the Portal in its sole discretion at any time.

MODIFICATIONS / UPDATES TO THE PORTAL RGIS is committed to ensuring that the Portal is as useful and efficient as possible. For that reason, RGIS reserves the right to make changes to the Portal or to discontinue the Portal, at any time and for any reason. You agree to download any updates promptly after they become available.

TERMINATION / ACCESS RESTRICTION RGIS reserves the right, in its sole discretion, to edit, refuse to post, or remove any information or materials, in whole or in part, or to terminate your access to the RGIS Portal and the related services, or any portion thereof at any time, without notice.

NO UNLAWFUL OR PROHIBITED USE As a condition of your use of the Portal, you agree to comply with these Terms andConditions; the RGIS Code of Conduct and Business Ethics; the RGIS PolicyAgainst Discrimination and Harassment; the RGIS Social Networking, Media, andBlogging Policy; and all other applicable law, regulations, and RGIS policies. Further, you warrant to RGIS that you will not use the Portal:• for any purpose that is unlawful or prohibited by these terms, conditions,notices, or RGIS policy;• in any manner, which could damage, disable, overburden, or impair thePortal or interfere with any other party's use and enjoyment of the Portal;• to obtain or attempt to obtain any materials or information through anymeans not intentionally made available or provided for through the Portal;• to access files that contain software or other material protected byintellectual property laws (or by rights of privacy) unless you own or controlthe rights thereto or have received all necessary consent;• to upload files that contain viruses, corrupted files, or any other similarsoftware or programs that may damage the operation of another’scomputer;• to falsify or delete any author attributions, legal or other proper notices orproprietary designations or labels of the origin or source of software or othermaterial contained in a file that is uploaded;• to harvest or otherwise collect information about others, including e-mailaddresses, without their consent;• to defame, abuse, harass, stalk, threaten or otherwise violate the rights ofothers;• to conduct or forward surveys, contests, pyramid schemes or chain letters;• to advertise or offer to sell or buy any goods or services.

VIOLATIONS OF SYSTEM AND NETWORK SECURITY Violations of system and network security are prohibited. Examples of system andnetwork security violations include the following:• Unauthorized access to or use of data, systems or networks, including anyattempt to probe, scan or test the vulnerability of a system or network or tobreach security or authentication measures without the expressauthorization of RGIS;• Unauthorized monitoring of data or traffic on any network or system withoutthe express authorization of RGIS;• Interference with service to any user, host or network, including, withoutlimitation, attempts to overload a system.

PASSWORDS AND ACCOUNT SECURITY You agree not to share your password with anyone else, and that you areresponsible for maintaining the confidentiality of passwords associated with anyaccount you use to access the Portal, including if accessing this Portal on a mobileapplication. Accordingly, you agree that you will be solely responsible to RGIS forall activities that occur under your account. If you become aware of anyunauthorized use of your password or of your account, you agree to notify RGISimmediately at privacy@rgis.com.

YOUR RESPONSIBILITY FOR CHARGESIf you are using the Portal on a mobile device without Wi-Fi, remember that yourterms of agreement with your mobile network provider will still apply. As a result,you may be charged by your mobile provider for the cost of data for the durationof the connection while accessing the Portal, or other third-party charges. Remember, use of the Portal is completely voluntary, and you accept responsibilityfor any charges, including roaming data charges incurred when the Portal is usedoutside of your home territory (i.e., region or country) without turning off dataroaming. You should check with your mobile device carrier to find out whether anyfees or charges will apply, what plans are available, and how much they will cost. You should also contact your mobile device carrier with any other questionsregarding these issues.

YOUR RESPONSIBILITY FOR MOBILE DEVICERGIS is not liable if you do not have a compatible mobile device or if you downloadthe wrong version of an application for your mobile device. RGIS reserves theright to terminate your use of the Portal should you use the Portal with anincompatible or unauthorized device.

MATERIALS PROVIDED TO RGIS OR POSTED TO PORTALBy posting, uploading, inputting, providing or submitting materials to the Portal(including feedback and suggestions) (collectively “Submissions”), you aregranting RGIS and necessary partners permission to use your Submission inconnection with the operation of its businesses including, without limitation, therights to: copy, distribute, transmit, publicly display, publicly perform, reproduce,edit, translate and reformat your Submission. No compensation will be paid withrespect to the use of your Submission, as provided herein. RGIS is under noobligation to post or use any Submission you may provide, and may remove anySubmission at any time in RGIS’s sole discretion. By posting, uploading, inputting,providing or submitting your Submission, you warrant and represent that you own,or otherwise control, all of the rights to your Submission as described in this sectionincluding, without limitation, all the rights necessary for you to provide, post,upload, input or submit the Submissions.

EMPLOYEE DATASome sections of the Portal may allow for an employee to submit informationrelated to his or her employment. This information, as well as additionalinformation captured by Portal during its use, are herein referred to as “EmployeeData.” Such Employee Data may include, but is not limited to, the following: nameand physical address, email address, phone numbers, badge number, uniqueidentifiers such as cookies placed on your computer or mobile device, your worklocation, scheduling information, time keeping data, employee identification orgovernment identification numbers, internet protocol address and informationabout your devices such as internet transfer protocol signals, browser or devicetype, operating system, user-agent strings and information about other apps onyour mobile device and behavioral data about your usage of the Portal or othersites.You are responsible for ensuring that no one else uses the Portal (especially anymobile application version) to enter or access Employee Data within your account. You are responsible for any Employee Data entered by an unauthorized person,and may be subject to discipline, up to and including termination of youremployment, for the entry of Employee Data by anyone other than you. While thePortal processes your Employee Data, including timekeeping data, it is each user’sresponsibility to ensure the transmitted information is accurate. Additionally, youare responsible for confirming that the downloaded timekeeping data matcheswhat appears on your statement of earnings.The Portal stores and processes Employee Data that you enter. The informationwill be downloaded to, and stored on, a server maintained by RGIS, and used forpurposes of RGIS’s operations, including, but not limited to, scheduling and workavailability, transportation facilitation, payroll processing, financial analysis, and toconduct investigations and defend litigation.RGIS generally will treat the Employee Data as confidential and limit internalaccess to employees with a need to know, such as employees who perform humanresources, finance, legal, information technology functions, as well as employeesinvolved in transportation administration and for purposes of event supervision. RGIS may disclose Employee Data as permitted or required by law.RGIS will apply reasonable and appropriate physical, technical and administrativesafeguards for Employee Data to prevent unauthorized access, use, or disclosure.

MOBILE TIMEKEEPING APPLICATION By downloading or using the App, you agree to the terms and conditions ofthe Agreement. Please make sure to read the Agreement carefully beforeyou download the App. RGIS, LLC is making the App available to you, on apurely voluntary basis, to facilitate your tracking of your time worked. If youdo not wish to agree to the Agreement, you should not download the App.Terms Of UseSecurity For The App:You are responsible for preventing unauthorized accessto the App. You must create a secure password consisting of at least 6 non-sequential digits. You must not share your password for the App for anyone else.Your Responsibility For Timekeeping Data: You are responsible for ensuringthat no one else uses the App to enter Timekeeping Data into their account. Youare responsible for any Timekeeping Data entered by an unauthorized person andmay be subject to discipline, up to and including termination of employment for theentry of Timekeeping Data into the App by anyone other than User. While the Appprocesses your Timekeeping Data, it is each user’s responsibility to ensure thetransmitted information is accurate. Additionally, users are responsible forconfirming that the downloaded Timekeeping Data matches what appears on theirStatement of Earnings.Your Responsibility For Charges: Your using the App outside of an area withWi-Fi should remember that your terms of agreement with your mobile networkprovider will still apply. As a result, you may be charged by your mobile providerfor the cost of data for the duration of the connection while accessing the App, orother third-party charges. Remember, use of the App is completely voluntary, andyou accept responsibility for any such charges, including roaming data chargesincurred when the App is used outside of your home territory (i.e., region orcountry) without turning off data roaming. You should check with your mobiledevice carrier to find out whether any fees or charges will apply, what plans areavailable and how much they cost. You should also contact your mobile devicecarrier with any other questions regarding these issues.Your Responsibility For Mobile Device:RGIS is not liable if you do not have acompatible mobile device or if you download the wrong version of an App for yourmobile device. RGIS reserves the right to terminate your use of the App shouldyou use the App with an incompatible or unauthorized device.Modifications/Updates To The App: RGIS is committed to ensuring that the Appis as useful and efficient as possible. For that reason, we reserve the right to makechanges to the App or to discontinue the App, at any time and for any reason. User agrees to download any updates to the App promptly after they becomeavailable. Privacy PolicyInformation Collected And How It Is Used:The App stores and processesTimesheet Data that you enter into the App. This information collected includes,but is not limited to, your work location, your activities and tasks, and the time thatyou start and stop working (collectively “Timesheet Data”). Once submitted, theinformation that you entered will be downloaded to, and stored on a servermaintained by RGIS. RGIS will use the Timesheet Data for timekeeping purposes,to prepare payroll, for financial analysis, and to conduct investigations and defendlitigation.Disclosure Of Timesheet Data: RGIS generally will treat the Timesheet Data andlimit internal access to employees with a need to know, such as employees whoperform human resources, finance, legal, and information technology functions. RGIS may disclose Timesheet Data as permitted or required by law.Security For Timesheet Data: RGIS will apply reasonable and appropriatephysical, technical and administrative safeguards for Timesheet Data to preventunauthorized access, use, or disclosure. LIABILITY; DISCLAIMER OF WARRANTY; RELEASE; INDEMNITYTHE PORTAL IS PROVIDED ON AN “AS IS” BASIS. RGIS MAKES NOREPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS ORIMPLIED, AS TO THE OPERATION OF THE PORTAL. YOU EXPRESSLYAGREE THAT YOUR USE OF THE PORTAL IS COMPLETELY VOLUNTARYAND IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMISSIBLEUNDER APPLICABLE LAW, RGIS DISCLAIMS ALL WARRANTIES, EXPRESSOR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OFMERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TO THEMAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALLRGIS AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES OF ANY KINDARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE ORPERFORMANCE OF THE RGIS PORTAL, INCLUDING, BUT NOT LIMITED TO,DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIALDAMAGES, UNLESS OTHERWISE SPECIFIED IN WRITING.You agree to release RGIS, its parents, subsidiaries and affiliates, from any andall liability and obligations whatsoever in connection with your use of this Portal.You agree to defend, indemnify and hold harmless RGIS, its parents, subsidiariesand affiliates, from and against all claims, liabilities, damages and expenses(including legal fees) arising out of your use of this Portal.RGIS is not responsible for the content or practices of third party websites that maybe linked to the Portal, and makes no representation or warranty regarding suchsites. 7While RGIS makes every attempt to ensure the information provided on the Portalis reliable, human or mechanical error is possible. Therefore, RGIS does notguarantee the accuracy, completeness, timeliness or correct sequencing ofinformation.

PRIVACY AND PERSONAL INFORMATIONFor information about RGIS data protection practices, please read RGIS’s Privacy

protects your privacy, when you use the Portal. You agree to the use of your datain accordance with RGIS’s privacy policy. For questions regarding the RGISprivacy policy, you may also contact privacy@rgis.com.RGIS reserves the right to disclose aggregated information to the larger public ormedia or more specific data that you separately and specifically agree that we canshare, without infringing upon the users’ confidentiality.The RGIS cookie policy is available at http://www.rgis.com/cookie-policy.

PERPETUITY RIGHTSWhen these Terms of Use come to an end, all of the legal rights, obligations andliabilities that you and RGIS have benefited from, been subject to (or which haveaccrued over time) or which are expressed to continue indefinitely, shall beunaffected by this cessation, and the provisions of this agreement shall continueto apply to such rights, obligations and liabilities indefinitely.

COPYRIGHT AND TRADEMARK NOTICES All contents of the Portal are protected by copyright. All rights reserved. RGIS,the RGIS logo and other RGIS trademarks, service marks, graphics, and logosused in connection with the Portal are trademarks or registered trademarks ofRGIS in the U.S. and/or other countries. You are granted no right or license in anyof the aforesaid trademarks, and further agree that you shall not remove, obscure,or alter any proprietary notices (including trademark and copyright notices) thatmay be affixed to or contained within the Portal. Any rights not expressly grantedherein are reserved.

GENERAL LEGAL TERMSThe performance of the Portal is subject to existing laws and legal process, andnothing contained in these Terms of Use is in derogation of RGIS’s right to complywith governmental, court and law enforcement requests or requirements relatingto your use of the Portal or information provided to or gathered by RGIS withrespect to such use. If any part of this agreement is determined to be invalid orunenforceable pursuant to applicable law including, but not limited to, the warrantydisclaimers and liability limitations set forth above, then the invalid or 8unenforceable provision will be deemed superseded by a valid, enforceableprovision that most closely matches the intent of the original provision, and theremainder of the agreement shall continue in effect. If you are a participant in theRGIS Dispute Resolution Program (“Program”), the terms of the Program shallapply to any dispute related to the Portal. Unless otherwise specified herein, theseTerms of Use constitute the entire agreement between you and RGIS with respectto the Portal, and supersede all prior or contemporaneous communications andproposals, whether electronic, oral or written, between you and RGIS with respectto the Portal.You agree that RGIS may provide you with notices, including those regardingchanges to the Terms of Use, by email, regular mail, or postings on the Portal.You agree that if RGIS does not exercise or enforce any legal right or remedywhich is contained in the Terms of Use (or which RGIS has the benefit of underany applicable law), this will not be taken to be a formal waiver of RGIS’s rights,and that those rights or remedies will still be available to RGIS.
